The Service is operated by Shanghai Yuanmao Information Technology Co., Ltd. (上海原猫信息技术有限公司), a company registered in Shanghai, People's Republic of China (hereinafter "Markus", "we", "us", or "our").
By accessing or using Markus, the Markus Desktop application, or Markus Hub (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
Markus is an AI-native company platform that enables users to deploy and manage autonomous AI agent teams. The Service includes:
You may sign in using third-party authentication providers (GitHub, Google) or email verification. You are responsible for maintaining the security of your account. You must provide accurate information and keep it up to date.
Markus offers the following subscription tiers:
Subscriptions are billed in advance on a monthly or annual basis. Annual subscriptions are billed as a single payment for the full year. All prices are in USD. Subscriptions auto-renew unless cancelled before the end of the billing period.
All payments are processed by our Merchant of Record, Waffo Pancake (waffo.ai). Waffo handles billing, tax compliance, and payment processing on our behalf. By subscribing, you also agree to Waffo's Terms of Service.
The Free tier allows use of Markus with your own LLM API keys ("Bring Your Own Key" or BYOK mode). You are responsible for any costs incurred with your API key providers (e.g., OpenAI, Anthropic, Google). Markus does not charge any markup on BYOK usage. The Free tier includes unlimited agents, teams, and projects, and access to all supported models via BYOK.
Paid plans include managed token credits for LLM usage. Token credits are subject to:
We reserve the right to suspend access if we detect abusive or fraudulent usage patterns.
You may cancel your subscription at any time through your account settings or by contacting us at support@markus.global. Upon cancellation:
Cancellation takes effect immediately and cannot be reversed once the billing period ends. If you wish to re-subscribe, you may do so at any time at the then-current pricing.

You retain ownership of any Items you publish on Markus Hub. By publishing an Item, you grant Markus a non-exclusive, worldwide license to host, display, and distribute it through the Service. You must not publish content that is illegal, harmful, or infringes on others' intellectual property.

To help you explain our operating model in plain language: when you purchase a subscription or credits under a paid plan, Markus acts solely as your agent to procure large-language-model ("LLM") services from third-party model providers on your behalf. Your subscription fees and credits represent pre-purchased capacity to access those third-party providers through Markus; they are not a sale of Markus's own model or of the underlying model outputs.
The Service must be accessed only through the official Markus client and interfaces we provide, and used strictly as intended. You agree that you will NOT, and will not attempt to, assist, or permit any third party to:
Any credential provisioned to you remains our property (or that of the upstream provider) and is licensed to you only for use inside the official Markus application. We may rotate, suspend, or revoke credentials at any time to protect the Service.
Access to specific models depends on applicable laws in your jurisdiction. Where required by law — including, for users located in the mainland of the People's Republic of China, laws and regulations governing generative AI services — Markus will restrict the available model list to models that are permitted or filed/approved for that jurisdiction. Model availability is served and controlled by Markus; you agree not to misrepresent your location or otherwise circumvent these controls. You are responsible for ensuring your use of any model complies with the laws that apply to you.
Markus is intended and licensed for legitimate professional, work, business, research, educational, and personal-productivity purposes only. You agree to use the Service only for such lawful, good-faith purposes. Using the Service for any purpose outside these permitted scenarios — including any attempt to generate, obtain, or distribute unlawful content, or to use the Service as an instrument to harm others, the Service, or any third party — is prohibited and constitutes a material breach of these Terms.
You must not use the Service to solicit, generate, or disseminate content that is unlawful, infringing, or otherwise prohibited by applicable law. In particular, and without limitation, the following conduct is expressly prohibited and constitutes a material breach of these Terms:
Because the models are operated by third parties and generate content probabilistically in response to user input, any prohibited output that results from a user's deliberate inducement is caused by that user's own violating conduct. Such user is solely responsible for that conduct and its consequences, and shall indemnify and hold Markus harmless from any resulting claims, damages, or liabilities. We may suspend or terminate accounts, preserve relevant logs of billing metadata and abuse signals, and cooperate with lawful investigations in response to such conduct.
AI-generated content. Output produced through the Service is generated by AI models and may be inaccurate, incomplete, outdated, biased, or otherwise unsuitable. It does not constitute professional advice. You are responsible for reviewing, verifying, and independently judging any AI-generated content before relying on or acting upon it.
Third-party model risk. The managed token service routes your requests to third-party model providers (see Section 12). You should carefully consider whether to use any third-party model service and fully understand the associated information-security, personal-information-protection, and data-privacy implications before doing so. To the maximum extent permitted by law, you assume all risks arising from your use of third-party models, and Markus disclaims liability for the acts, omissions, availability, security, or outputs of any third-party provider. Nothing in this Section limits any rights you may have that cannot be waived under mandatory applicable law.
The Service and its original content (excluding user-published Items) are the property of Shanghai Yuanmao Information Technology Co., Ltd. and are protected by applicable laws. The Markus Core engine is licensed under AGPL-3.0.
We reserve the right to suspend or terminate your account at any time for violation of these Terms. You may cancel your subscription or delete your account at any time. Upon cancellation, you retain access until the end of your current billing period.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. Features may be modified or removed with prior notice. Markus makes no warranty regarding any third-party model or its outputs.
To the maximum extent permitted by law, Markus and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, from any AI-generated content, or from the acts, omissions, or outputs of any third-party model provider. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.
Any dispute arising from or in connection with these Terms shall first be resolved through friendly negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the competent people's court in Shanghai, People's Republic of China.
